AlgoVerve is a technology platform designed to help users build, test, deploy, monitor and review systematic trading strategies.

Depending on the product and plan available to you, the platform provides:

• ›Trading journals

AlgoVerve is a technology provider. It is not a broker or an investment advisor or a portfolio manager; neither a research analyst or a financial advisor.

AlgoVerve does not and shall not hold your trading capital or make trading decisions on your behalf.

You may use AlgoVerve only if:

• ›You are at least 18 years old.
• ›You are legally capable of entering into a binding agreement.
• ›The information you provide to AlgoVerve is accurate and current.
• ›You maintain any trading, demat or other account required to use a particular feature.
• ›You comply with applicable laws, regulations, exchange rules, broker requirements and other applicable policies.

If a particular broker, product or service imposes additional eligibility requirements, you are responsible for meeting those requirements.

Some AlgoVerve features require an account.

You are responsible for:

• ›Providing accurate account information.
• ›Keeping your account information current.
• ›Maintaining the confidentiality of your login credentials.
• ›Taking reasonable steps to protect your account and connected devices.
• ›Not permitting unauthorised persons to use your account.

You are responsible for activity carried out through your account unless you have promptly notified AlgoVerve of suspected unauthorised access or usage.

AlgoVerve may ask for additional information to verify your account or for additional compliance checking on legal, security or operational grounds.

AlgoVerve provides technology and tools for running your every systematic trading strategy. The specific features available to you depend on the plan, product, broker integration and service configuration applicable at the time.

Features include strategy creation, testing, paper algo trading, deployment, monitoring, journaling, analytics and other similar tools.

AlgoVerve may introduce new features and may modify, discontinue or replace any or all existing feature(s).

Where a feature is described as upcoming, experimental, beta, under development or otherwise unavailable for general use, you should not rely on it for any algorithmic trading activity.

AlgoVerve does not provide:

Information presented on the website, platform, blog, documentation or other AlgoVerve communication is provided for informational and educational purposes unless expressly stated otherwise.

The strategy, instruments, quantities, entry conditions, exit conditions and other trading decisions remain yours.

You are responsible for determining whether any strategy or trading activity is appropriate for your circumstances.

Trading in equities, options, futures, derivatives and other financial instruments involves substantial risk.

You may lose some or all of the capital allocated to trading.

Depending on the instrument and position, losses may exceed the amount initially invested or deposited.

Before trading, you should consider your financial circumstances, objectives, experience and tolerance for loss and obtain independent professional advice where appropriate.

AlgoVerve provides tools through which users may define trading rules and conditions.

User remains responsible for all strategy inputs, including, where applicable:

• ›Exit conditions
• ›Stop-loss settings
• ›Targets
• ›Trailing rules
• ›Re-entry conditions
• ›Quantity
• ›Instrument selection
• ›Expiry selection
• ›Strike selection
• ›Timing
• ›Risk controls
• ›Broker selection
• ›Other strategy parameters

You are responsible for reviewing your strategy before testing or deployment.

An incorrect, incomplete or misunderstood configuration may result in unexpected behaviour, unintended orders or financial loss.

AlgoVerve does not independently determine the suitability of a strategy for a user.

AlgoVerve allows you to connect supported broker accounts to the platform.

When a broker is connected, certain information may be exchanged between the AlgoVerve trading app and the online broker as required to provide the relevant functionalities.

Trades placed through a broker integration are ultimately subject to the broker's systems, permissions, APIs, order rules and applicable exchange processes.

AlgoVerve is not responsible for failures originating from a broker, exchange or other third-party system, including:

• ›API failures
• ›Incorrect or delayed broker responses
• ›Order rejection
• ›Partial fills
• ›Margin shortfalls
• ›Broker-side technical failures
• ›Exchange-side failures
• ›Settlement issues
• ›Broker or exchange restrictions
• ›Regulatory or compliance action affecting the account

You should independently monitor your broker account, orders, positions, margin and execution status.

AlgoVerve provides technology that allows users to deploy rule-based option trading strategies and automate a number of trading actions.

Automated execution does not eliminate market or execution risk.

Orders may be delayed, rejected, partially executed, duplicated or not executed because of market conditions, connectivity problems, broker or exchange systems, API limitations, technical failures or other circumstances.

You acknowledge that:

• ›Market conditions can change rapidly.
• ›Strategy rules are determined by you.
• ›Broker and exchange systems are outside AlgoVerve's control.
• ›Technical systems may experience interruptions or errors.
• ›You remain responsible for monitoring your strategies and connected trading accounts.

AlgoVerve does not guarantee that an automated strategy will execute continuously, completely or exactly as intended under every circumstance.

Backtesting, simulation, paper trading and other analytical tools are intended to help users evaluate strategies. They do not reproduce every condition of live trading.

Results may depend on historical data, assumptions, methodology, transaction costs and system calculations.

Actual trading live results may differ because of factors including:

• ›Brokerage and other charges
• ›Taxes and statutory charges
• ›Liquidity
• ›Market impact
• ›Latency
• ›Order rejection

A backtest or simulation is not a prediction of future performance.

You are responsible for independently evaluating and validating a strategy before deploying it with real capital.

AlgoVerve may provide trading logs, journals and related analytical tools to help users record and review market trading through strategic activities.

Depending on the feature used, records may include:

• ›Order and execution timestamps
• ›Broker responses
• ›Trade status
• ›Error messages
• ›Performance information
• ›Other information generated through platform activity

These tools are provided for monitoring, analysis and review.

AlgoVerve does not guarantee that every record will always be complete, error-free, immediately available or permanently accessible.

Users remain responsible for maintaining any records they require for their own trading, accounting, tax, regulatory or other purposes.

AlgoVerve offers free, paid and custom service options, depending on the products and plans available at the time.

Current plan names, prices, features and usage limits published on this page may change from time to time.

The applicable price shown at the time of purchase will govern that transaction, subject to applicable taxes and the terms displayed during checkout.

Unless otherwise stated:

• ›Prices are in Indian rupees.
• ›Applicable taxes, including GST, may apply.
• ›Subscription or platform fees are charged according to the selected plan.
• ›Plan features and limits may vary between plans.
• ›Custom plans may be governed by additional written terms.

You agree to provide accurate billing and payment information and to pay all applicable charges.

AlgoVerve may use third-party payment providers to process payments.

Refunds are governed by the AlgoVerve Refund Policy.

Unless a different written arrangement applies, refund requests may be submitted within 3 calendar days of payment, subject to the eligibility conditions stated in the Refund Policy.

A refund is not automatically available merely because you stop using the platform.

Custom plans may be subject to separate commercial terms agreed in writing.

Where an upgrade is available, any adjustment of amounts already paid will be handled according to the applicable upgrade policy.

You are responsible for protecting this online platform for trading by not knowingly sharing your passwords, OTPs, broker credentials, or account access with unauthorised persons.

Do not give anyone:

• ›Your AlgoVerve login credentials
• ›Your email account password
• ›Your broker account details
• ›Your API credentials and access tokens
• ›Any device used to access this platform

If you believe that your account or credentials have been compromised, you should take appropriate steps to secure the account and contact AlgoVerve promptly.

AlgoVerve is not responsible for losses arising from circumstances within the user's reasonable control, including credential sharing, phishing, compromised devices or failure to maintain account security, subject to applicable law.

You must not use AlgoVerve to:

• ›Violate applicable law or regulation.
• ›Circumvent broker, exchange or platform restrictions.
• ›Gain unauthorised access to the platform or another user's account.
• ›Attempt to compromise platform security.
• ›Introduce malware, viruses or other harmful code.
• ›Reverse engineer, decompile or otherwise attempt to derive the source code of the platform except where expressly permitted by applicable law.
• ›Scrape, copy, extract or systematically collect platform data including without permission.
• ›Interfere with the operation or availability of the platform.
• ›Create fraudulent or misleading accounts for trading live or backtesting.
• ›Misuse broker integrations.
• ›Resell, sublicense or redistribute AlgoVerve's services without written permission.
• ›Use the platform to impersonate another person or mislead others.
• ›Abuse, threaten or harass AlgoVerve employees, representatives or support personnel.
• ›Use the platform in a way that could reasonably expose AlgoVerve, its users or third-party systems to harm.

AlgoVerve may suspend or terminate accounts involved in prohibited activity.

The AlgoVerve website, platform, software, interfaces, designs, workflows, databases, documentation, reports, trademarks, logos, written content and other materials are owned by Algoverve AI LLP or its licensors, unless otherwise stated.

Your subscription or use of the platform does not transfer ownership of any AlgoVerve intellectual property to you.

Subject to these Terms and your applicable subscription, AlgoVerve grants you a limited, non-exclusive, non-transferable and revocable right to use the platform for its intended purpose.

You must not copy, reproduce, distribute, sell, sublicense, modify or create derivative works from AlgoVerve's platform or proprietary materials without written permission, except where such activity is expressly permitted by applicable law.

You retain ownership of your own algorithmic trading strategies, notes and other user-generated material, subject to any rights necessary for AlgoVerve to provide the services.

AlgoVerve may integrate with or rely on third-party services, including:

• ›Brokers
• ›Exchanges
• ›Payment providers
• ›Cloud and infrastructure providers
• ›Market-data providers
• ›Analytics services
• ›Communication and notification services

Third-party services operate under their own terms, policies and technical conditions.

AlgoVerve does not control third-party systems and cannot guarantee their availability, accuracy, security or performance.

Where a third-party service is necessary for a particular feature, interruption or change to that service may affect the availability or performance of the relevant AlgoVerve online trading feature.

AlgoVerve aims to provide a reliable service but does not guarantee uninterrupted or error-free availability.

The platform may become unavailable or experience reduced functionality because of:

• ›Scheduled maintenance
• ›Emergency maintenance
• ›Server or infrastructure problems
• ›Internet or connectivity failures
• ›Broker or exchange outages
• ›Third-party service failures
• ›Security incidents
• ›Software or technical errors
• ›Force majeure events
• ›Changes required by law or regulation

Where reasonably practicable, AlgoVerve may provide notice of planned maintenance or material service interruptions.

Nothing in this section limits any rights or remedies that cannot legally be excluded.

To the maximum extent permitted by applicable law, AlgoVerve provides the platform and its services on an 'as available' basis.

AlgoVerve does not warrant that:

• ›The platform will always be available.
• ›The platform will be free from errors.
• ›Every strategy will execute as intended.
• ›Data will always be complete, accurate or uninterrupted.
• ›Backtesting trading or simulation will predict live results.
• ›Any strategy will generate a profit.
• ›A market trading activity will be free from loss.

To the maximum extent permitted by applicable law, AlgoVerve will not be liable for losses arising from matters outside its reasonable control, including broker failures, exchange failures, market movements, order rejection, liquidity conditions, third-party service failures, user configuration errors or unauthorised account access.

To the maximum extent permitted by applicable law, AlgoVerve will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business opportunity, data or anticipated savings.

To the extent permitted by applicable law, you agree to indemnify and hold harmless Algoverve AI LLP and its officers, employees, affiliates, partners and service providers from third-party claims, losses, liabilities, damages, costs and reasonable expenses arising from:

• ›Your unlawful use of the platform.
• ›Your breach of these Terms.
• ›Your violation of applicable law or third-party rights.
• ›Your misuse of broker integrations.
• ›Your unauthorised use of the platform.
• ›Your intentional misconduct or negligence.
• ›Your trading activity where the claim arises from your actions or instructions.

This provision does not require you to indemnify AlgoVerve for losses caused by AlgoVerve's own conduct to the extent such indemnification is prohibited by applicable law.

AlgoVerve may suspend, restrict or terminate access to an account where reasonably necessary, including if:

• ›You materially breach these Terms.
• ›You engage in prohibited activity.
• ›You provide materially false or misleading information.
• ›Your account presents a security risk.
• ›You attempt unauthorised access.
• ›You misuse broker or platform integrations.
• ›Suspension is required by law, a regulator, broker or exchange.
• ›Your activity creates a material risk to AlgoVerve, its infrastructure or other users.

Where appropriate and reasonably viable, AlgoVerve may provide notice and an opportunity to address the issue before termination.

Termination does not automatically create a right to a refund. Refund eligibility is governed by the Refund Policy or any separate written agreement.

Sections that by their nature should survive termination - including provisions concerning intellectual property, disclaimers, liability, indemnification, governing law and outstanding payment obligations - will continue to apply after termination.

AlgoVerve may send communications required to operate your account and provide the services.

These may include:

• ›Billing and subscription information
• ›Service updates
• ›Technical notifications
• ›Trading-related alerts
• ›Platform notices
• ›Customer-support communications

Where permitted by applicable law, AlgoVerve may also send promotional communications.

You may opt out of promotional communications using the unsubscribe or preference mechanism provided in the relevant communication.

Opting out of promotional communications does not prevent AlgoVerve from sending communications that are necessary to operate your account, provide the service or address security or legal matters.

AlgoVerve may update these Terms when its services, practices or legal obligations change.

The updated version will be published on the website with a revised effective date.

Where a change is material, AlgoVerve may provide additional notice where appropriate or required by law.

Your continued use of the platform after the updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

If you do not agree to a revised version of these Terms, you should stop using the platform and, where applicable, cancel your subscription in accordance with the relevant cancellation and refund terms.

These Terms are governed by the laws of India.

Subject to any mandatory legal requirements concerning jurisdiction, disputes arising from or relating to these Terms or the use of AlgoVerve shall be subject to the jurisdiction of the courts in New Delhi, India.

In the event of a conflict between these Terms and a specific written agreement entered into between AlgoVerve and a customer, the specific written agreement will govern to the extent of the conflict.
